The real concern among those in the industry is what happens if the FDA and DEA reschedule marijuana as a Schedule II drug. FDA regulation experts say if pot is placed in the same category as legal pharmaceutical formulations of opioids like oxycodone and stimulants like amphetamine the burden of keeping up with regulatory compliance might be too costly for many of today's small marijuana companies.

"Schedule II would be a nightmare for the cannabis industry," says Andrew Ittleman, a lawyer and partner at Fuerst Ittleman David & Joseph in Miami. His firm helps companies navigate FDA's laws and regulations. 

Right now, since marijuana is classified as an illegal drug with no medical benefits, the drug's prohibition is policed by the Drug Enforcement Administration and other law enforcement agencies. But if it is reclassified as a drug with medical benefits, the FDA would lead the charge in regulating its manufacture, distribution, sale, and use.

What's more, under the Schedule II classification, every cannabis-derived product would be subject to the kind of scrutiny typically reserved for drugs like Adderall and OxyContin. If, for instance, a brand says its Cannabidiol (CBD) oil cures seizures or Tetrahydrocannabinol edibles (THC) relieve pain, the products will be targeted for testing. If the claims turn out to be unproven, that company could be charged with criminal misbranding, says Ittleman. So rather than just going back to the drawing board, a company's operators might face prison time or fines. Further, if a company's manufacturing facilities aren't up to FDA standards, the products made in those facilities would be considered an "adulterated drug," or impure and unfit for consumption, under federal law, says Ittleman.

If marijuana was de-scheduled, and placed into the same category of alcohol and tobacco, it would fall under the purview of the Bureau of Alcohol, Tobacco, Firearms, and Explosives. That has its own maw of legal hoops to maneuver.

"If the FDA came out and said we are making cannabis Schedule II and the entire industry didn't change, the whole industry would be illegally trafficking a Schedule II substance," says Hank Levy, a CPA for marijuana companies, including Harborside, one of the largest dispensaries in the nation. Simply put, the industry as it stands today would not be legal under a whole set of other laws.  

"I don't see Schedule II as being any help here for the existing cannabis industry at all," says Ittleman, who notes that the changes likely open the door to big pharmaceutical companies that have the experience manufacturing Schedule II controlled substances. "This is the red carpet for Purdue Pharma and Pfizer to enter the industry," adds Ittleman.

Even so, marijuana entrepreneurs remain undeterred. The cannabis industry is a $40 billion dollar market regardless of federal law and it's not going away.

Last December at a Meetup group event in New York City called High NY, marijuana entrepreneur Steve DeAngelo, the founder of Oakland, California-based Harborside, took questions from the audience regarding the future of the industry. Why You Need a Workplace Marijuana Policy

Down the dirt roads on the hills of Northern California, where small farmers have been growing marijuana and evading the authorities for decades, the anticipation before election day, when the state will vote on a recreational marijuana ballot, is high. But many of the farmers will vote "no" on Proposition 64, the statewide ballot measure that could legalize marijuana for adults over 21. The farmers want marijuana to be legal, but they think the proposed law puts big business interests ahead of the small farmer.

Ruby Steinbrecher, a lawyer and the chair of the Sonoma County Growers Alliance, an advocacy and educational group for marijuana cultivation businesses in California, says many long-time marijuana farmers from Sonoma and up to Humboldt County will vote no on 64, which will propose the passage of the Adult Use of Marijuana Act (AUMA), on Tuesday.

"There is a big fear that the big interests are about to come in and crush the small growers," says Steinbrecher. "We know consolidation is coming, we know things will change, but we don't want the small businesses that have been around for a long time to go away completely because this is the culture of who we are and what we do. We need to protect it."

The main complaint about the Adult Use of Marijuana Act (AUMA) is that it is not as friendly to the small farmers as the medical marijuana laws are. If passed, the California state government will issue unlimited growing licenses in five years time, which means big companies will be able to buy as many licenses as they want to create mega-marijuana farms.

Another issue, says Steinbrecher, is that farmers in Northern California, most of whom have been cultivating marijuana long before the laws started to change, are just learning how to deal with the new medical regulation laws passed under the Medical Marijuana Regulation and Safety Act in 2015, which gave the industry a much needed clear and robust framework to support a legal industry. The new recreational laws add confusion to that process, she says.

"We are just wrapping our heads around the new medical laws passed last year," says Steinbrecher​. "We are busy focusing on that and throwing in new regulations for a recreational market adds a thick layer of complications and issues to the huge paradigm shift of legalization."

California has long operated in a gray market. In 1996, voters passed Proposition 215, which legalized medical marijuana but did not offer a framework or regulatory body to manage the industry. As California's industry becomes legitimate, the farmers need to change the way they have done business for years.

"Many people never kept business records as a precaution [in case of a police raid]. If you were cultivating cannabis, you'd keep business records on scraps of paper and burn them after the harvest," says Steinbrecher, who is also the president of Madrone California, a collective of small marijuana farmers who have come together to help each other stay compliant under the new laws. "Legalization is overwhelming; we need more time to adapt."

According to polls, Proposition 64 is likely to pass in California. If it does, that means marijuana would be legal for recreational use in every state along the west coast of the U.S. The ArcView Group, a network of marijuana angel investors, says if California passes a law for recreational use, the national marijuana market could go from $7 billion last year to $22 billion in four years. There are similar measures in Arizona, Nevada, Maine, and Massachusetts. As for medical marijuana, Florida, North Dakota, Arkansas, and Montana are voting to legalize medical use. But as California is estimated to grow the bulk of the country's marijuana, all eyes are on the state to see what happens. If California legalizes recreational use, there is a good chance that many other states will follow in the coming years, which will in turn put more pressure on the federal government to change federal law.

Hezekiah Allen, who grew up on his family's marijuana ranch in Honey Dew, California, sold the land and started lobbying for small marijuana farmers and businesses in 2014, with his group the California Growers Association. He has fought to get many concessions for small businesses included in the medical regulation laws passed under the Medical Marijuana Regulation and Safety Act in 2015. He says if AUMA passes he will have to start working to get farmer-friendly regulations amended into the new law. The group has a neutral stance on 64, but he says he will vote no.

"Is the goal to make marijuana millionaires? Or to make all these criminals in the hills small-business owners? We want to make business owners out of the farmers who have been working in the shadows for decades," says Allen.

He is also against the rule that allows companies to buy unlimited number of licenses in five years, as he believes it will beget mega cannabis corporations that will threaten the livelihoods of small farmers.

"Small farms are good for California. Right now, the state is home to a diverse group of boutique and craft farms, but 64 will accelerate consolidation," says Allen. "It's going to be messy, it'll be a fight, but I am not discouraged. We will just work to put amendments in that will support small business."

Another aspect of AUMA that Allen believes goes against small businesses is a flat tax structure across the industry; multimillion-dollar businesses will be taxed at the same rate as a boutique grower. The taxes under AUMA will be imposed at harvest, so cultivators will have to pay before getting it inspected for quality and potency, which could end up hurting farmers if the yield doesn't turn out as planned or if mold or pests infest the flowers. This could hurt a small-business owner who lives harvest to harvest, says Allen.

Allen says AUMA does have positive aspects, including the fact that most people will not go jail for marijuana offenses. But much of the work he did to help support small businesses got undone as the campaign raised $20 million to get on the ballot and pay for ads, Allen says.

Another aspect of legalization that farmers will have to get used to, Steinbrecher says, is a shift in culture and attitudes towards the government. She grew up around marijuana cultivators and says she is excited for the industry to become a legitimate part of the economy. But the farmers, who have been persecuted by drug agents dropping out of helicopters to cut down pot crops and arrest the owners since the start of the domestic drug war, are just learning how to trust and deal with the government and regulators, she says. The isolated communities of the hills, the main producers of marijuana sold in retail shops in San Francisco and Los Angeles, want to be licensed and regulated, but in order for it to work, she says, all the farmers need to be on board. But since 64 has been divisive, she says if California doesn't move into legalization slowly, many farmers will just continue operating in the black market.

Wulffson says that to protect your business you need to update your employment policies and human resources programs, and train all managers.

First, you need to be familiar with the laws that have been passed in your state and consider a drug policy that doesn't prohibit employees from using cannabis on their own time. With 86 percent of Americans supporting medical marijuana, an overly restrictive policy may chase some of your workers to another employer. Marijuana, while still classified as a Schedule I drug without medical use, does have medical benefits, and a bipartisan bill to make medical marijuana legal on the federal level has been introduced in the Senate. 

Until then, you need to take steps to avoid becoming a target of an employee lawsuit (whether the employee would have a strong case or not). "There are four scenarios that play out in these types of lawsuits that I see over and over again," Wulffson says. 1. Innocent inquiry

The first scenario is when an employee or an applicant innocently asks the question "'I just wanted to know, would you accommodate my use of medical marijuana?'" "That's a loaded question because you have to accommodate the underlying disability of the medical condition," Wulffson says. "But you don't have to accommodate being stoned at work."

If the query is put to the human resources department, the HR person should tell the employee that the company will accommodate his condition. At the same time, the employee should explain his condition, the treatment, and exactly what kind of accommodation he needs so you can have a dialogue about it. Where most companies falter is when a manager doesn't know the company policy and speaks out of turn.

"If an employee asks a line manager, they could easily say, 'Hell no! We don't accommodate stoners! You can't be stoned at work!'" Then the employee says, "Gee, I got glaucoma and I was hoping you'd accommodate my condition." If the manager doesn't tell the employee to go talk to HR and fires them, Wulffson warns, the result may be a lawsuit.

2. An ill employee stoned at work

The second scenario, Wulffson says, is when an employee with a serious disease is under the influence at work and gets called on the carpet: "The employee will say, 'I am getting treated for cancer and I am going through chemo. The only thing that helps is medical marijuana and I had to smoke a bowl at lunch to keep from throwing up. I am really sorry, I'll do something light until it wears off.'" Wulffson says that although you may have sympathy for the employee's situation, the only way to protect yourself from litigation is to institute a zero-tolerance policy for the use of any drugs, including medical marijuana, while at work.

Keep in mind, however, that if you are in a state that mandates employers accommodate medical marijuana (i.e., Arizona, Delaware, or Minnesota) you cannot fire a medical marijuana card-holding employee for a positive marijuana test. While it is indeed advisable to have a drug policy prohibiting marijuana use during work hours, you don't need to know about what employees are doing on their own time.

3. The future smoker

Wulffson says he's currently representing three clients who are in this situation: The employee comes to you and says she's suffering from anxiety or glaucom and needs to deal with the symptoms. She tells you she's about to go outside, walk 50 feet away from the building, smoke, and come back. "They're telling you they're going to do it, but they are not stoned right now, so you don't have the right to fire them right now," he says. "But, invariably, the manager says, 'No, no, no, no. Go home, stay home, you're fired.'" 

Wulffson says you should not allow the employee to smoke while at work, but you can make allowances. Say something like this: "We will reasonably accommodate your condition, but we cannot allow you to be under the influence while on the clock--it's too risky for the company. You can go home for the rest of the day and come back tomorrow."

4. Social media smokers

Here, an employee goes on Facebook or Twitter and sees pictures of an applicant smoking a joint. The employee then emails the hiring manager to discourage him from hiring the person. When the candidate finds out you saw the photos, Wulffson says, "that's when they claim you didn't hire them because of either a perceived disability" and/or because you don't want to provide an accommodation for them

You might find this is frivolous, but there are lawyers out there looking to cash in. "There is a cottage industry of lawyers that do nothing but bring claims related to medical marijuana against employers," Wulffson says. "Google 'medical marijuana rights' and you'll find 50 lawyers who write well-written letters about how you didn't accommodate the employee and you're getting sued for hundreds of millions of dollars, but today they'll take $15,000 to go away."

Wulffson says these lawsuits are catching a lot of employers off guard because of the confusion over medical marijuana laws. "It may be legal in many states, but it's still a federal crime," he says. California and other states will not prosecute someone with a medical card who is carrying less than a certain amount, but that's not a blanket permission. "You can't go on federal property, you can't work for a federal employer," he says. "'Don't work for a federal contractor because you could be fired and maybe jailed."

When it comes to drug use at work--whether it is an employee with cancer smoking marijuana or one popping Xanax to deal with anxiety--Wulffson suggests you should adopt a simple, straightforward company policy that reads something like this: "We don't allow the use of, the possession, or being under the influence of any illegal drug in the workplace. 'Illegal drug' is defined as 'the abuse of over-the-counter medication, prescription medication, medical marijuana, and alcohol."

Additionally, Wulffson says, make sure you train all of your managers to answer questions. "If anything from any employee looks, sounds, or smells like they have a medical condition or medical marijuana issue, refer them to HR," he says. "The biggest issue I see is that companies don't get the word out and the line managers say and do things that get the company sued."

In the beginning, Pete Williams grew medical marijuana in his basement. He grew strains with names like White Widow and Sour Diesel, and it was good. The Williams brothers--along with their sister, Sally Vander Veer, who helped with Medicine Man's launch and came on as CFO in 2013--are one of the many success stories in Colorado's $1.5 billion legal weed industry. According to a report by Convergex Group, the state's 300 licensed marijuana businesses generated $350 million in revenue in 2014, a figure that's expected to grow by 20 percent this year.

In 2008, the recession crippled Pete's custom tile business. After 18 years of marriage, he and his wife got divorced, and he needed to make money to support his two children. A friend gave him 16 pot plants, each one small enough to fit inside a Dixie cup, and told him there's good money in "caregiving," or growing weed for medical patients. A born tinkerer, Pete built a complex grow system incorporating hydroponics and aeroponics techniques. That first year, he made $100,000 out of his basement selling to dispensaries.

President Obama declared state-legalized medical cannabis a "low priority" for law enforcement the following year. That's when Andy came down to the basement with a plan. With a loan of just over a half-million dollars from their mother, the brothers leased a 20,000-square-foot space in a warehouse in Denver's Montbello neighborhood and built a state-of-the-art hydroponics-based system. At that time, the brothers were selling wholesale, but in December 2010 a new law was enacted requiring cannabis growers to sell their product directly to customers. Andy and Pete built a dispensary in the front of the warehouse and ceased their wholesale business.

"Andy was the right entrepreneur at the right time for an investment opportunity. At the end of the day, it's clear Andy thought all the way through the pieces of the puzzle," says ArcView CEO Troy Dayton. (Neither Dayton nor ArcView is a Medicine Man investor.) "In a nascent industry, companies get traction not only when they are early but when they are a great business and composed of great people--Andy has both." 

On January 1, 2014, the first day sales of recreational marijuana were officially legal, Medicine Man sold 15 pounds of pot and made close to $100,000. Meanwhile Pete, Andy, and Sally have been looking ahead to a day when cannabis becomes legal nationwide. To ensure another revenue stream, the trio created Medicine Man Technologies, a consulting firm that offers turnkey packages to entrepreneurs who want to start pot business. Medicine Man Technologies, which has helped clients build medical facilities in New York, Illinois, Florida, and Nevada, will become a publicly traded company on the over-the-counter market this summer.

The challenges of being a potpreneur. 

In spite of the safe haven Colorado has created, pot businesses still face at least two major hurdles: First, until major banks decide it's safe to bring on marijuana clients, the businesses must deal exclusively in cash. Medicine Man, which says it brought in $50,000 a day in December, has had to invest heavily in security measures. Its two locations are equipped with a total of more than 100 cameras trained inside and out, as well as bulletproof glass and doors. The company has also hired security company Blue Line Protection Group to supply armed guards for the dispensaries and warehouses, and armored trucks to run money from the safe to pay bills, the government, and vendors. 

Cannabusinesses also face extremely high taxes, in some cases exceeding 50 percent. But thanks to Pete's super-efficient grow operation, which produces a gram of marijuana for the comparatively low cost of $2.50, Medicine Man has been able to slash prices for the customer while staying profitable--so even after the state takes its cut, the company's margins are 30 to 40 percent, Sally says. 

Exit strategy.

It's easy to look at the Williamses, or watch them on MSNBC's reality show Pot Barons of Colorado, and believe they have the life. The trio seem to be sitting on top of the Mile High City's legal weed industry, but they didn't get up there without personal sacrifice. For example, Andy's decision to give up a stable job to launch Medicine Man cost him his marriage.  

"One thing people don't understand is that the entrepreneurs who started the industry in Denver are pioneers in the truest sense. What it takes to be a pioneer is vision, the ability to see something, and the courage to go after it despite the risks," he says. "The risks weren't just about money--they were about our reputations, our freedom, and our families. People risked everything for it."

After years of dealing with all those risks and sacrifices, the Williamses now say they're ready to put their feet up and enjoy the rewards of building the "Costco of marijuana." The siblings are currently in talks with private equity firms regarding an acquisition. They put the current value of the 80-employee business at $30 million, and say it will bring in $15 to $18 million in revenue in 2015.

"We began this whole thing with an end game in mind," Pete says. "We're all in our late 40s and we don't want to work for the rest of our lives." 

He adds that they're willing to sell their majority stake, but they'd like to hang on to 5 to 10 percent. "If we don't sell out, [an acquiring company] will buy our biggest competitor," he says. "If we hook up with the right people, Medicine Man can be a household name like Pepsi or Coke. [People will say,] 'Go get me a pack a Medicine Mans, honey.'"

There's an old adage about business that "cash is king" and, if that's so, then cash flow is the blood that keeps the heart of the kingdom pumping. Cash flow is one of the most critical components of success for a small or mid-sized business. Without cash, profits are meaningless. Many a profitable business on paper has ended up in bankruptcy because the amount of cash coming in doesn't compare with the amount of cash going out. Firms that don't exercise good cash management may not be able to make the investments needed to compete, or they may have to pay more to borrow money to function.

"Despite the fact that cash is the lifeblood of a business -- the fuel that keeps the engine running -- most business owners don't truly have a handle on their cash flow," says Philip Campbell, a CPA and former chief financial officer in several companies and author of Never Run Out of Cash (Grow & Succeed Publishing 2004). "Poor cash-flow management is causing more business failures today than ever before."

Academic studies over the years have found that cash flow problems can be one of the leading causes of failure for businesses. A study reported in August from Equifax, the credit reporting agency, found that bankruptcies among the nation's 27 million small businesses leaped by 81 percent between June 2008 and June 2009. While the U.S. Small Business Administration (SBA) estimates that about 600,000 new small businesses are launched each year, a 2007 study reported in the U.S. Bureau of Labor Statistics' Monthly Labor Review indicates that two-thirds will only survive two years, 44 percent survive four years, and 31 percent survive for at least seven years. Scholars have found over the years that insufficient capital is one of the main reasons for small business failure, coupled with lack of experience, poor location, poor inventory management and over-investment in fixed assets, according to the SBA.

Cash Flow Basics

What is cash flow? It's basically the movement of funds in and out of your business. You should be tracking this either weekly, monthly or quarterly. There are essentially two kinds of cash flows:

Positive cash flow: This occurs when the cash funneling into your business from sales, accounts receivable, etc. is more than the amount of the cash leaving your businesses through accounts payable, monthly expenses, salaries, etc.

Negative cash flow: This occurs when your outflow of cash is greater than your incoming cash. This generally spells trouble for a business, but there are steps you can take to remedy the situation and generate or collect more cash while maintaining or cutting expenses.

Achieving a positive cash flow does not come by chance. You have to work at it. You need to analyze and manage your cash flow to more effectively control the inflow and outflow of cash. The SBA recommends undertaking cash flow analysis to make sure you have enough cash each month to cover your obligations in the coming month. The SBA has a free cash flow worksheet you can use. In addition, most accounting software packages geared to small or mid-sized businesses – such as Quickbooks will help you produce a cash flow statement. There are also other websites offering free templates, including Winsmark Business Solutions and Office Depot.

Profit versus Cash Flow

Profit does not equal cash flow. You can't just look at your profit and loss statement (P&L) and get a grip on your cash flow. Many other financial figures feed into factoring your cash flow, including accounts receivable, inventory, accounts payable, capital expenditures, and debt service. Smart cash-flow management requires a laser focus on each of these drivers of cash, in addition to your profit or loss. "There is a secret that very few business owners have discovered (and the accounting community has not done a good job revealing): knowing whether you earned a profit (or created a loss) is not the same as knowing what happened to your cash," Campbell says. "Profit, as defined by the rules of accounting, is simply revenue minus expenses. Invoicing a customer for products or services you sold to them creates revenue. Actually collecting the money on that invoice is what creates cash."

A positive cash flow is actually needed to generate profits. You need enough cash to pay your employees and suppliers so that you can make goods. It's the sale of those goods that helps generate a profit. But if you don't have the money to make the goods, you don't end up with the profit. So you really need to structure your business to have a positive cash flow if you want your business to grow and increase profits.

"Growing your business puts a huge strain on cash," Campbell says. "You almost always have to make investments and bring certain expenses on ahead of achieving the higher revenue and cash flow that comes with successful growth. Maybe you want to open an office in a new city so you can build the business there. Or, you need to build a new facility so you have the capacity to sell to larger customers. Those scenarios (and others) require cash up front."

How to Improve Cash Flow

Most business owners see growth as the solution to a cash-flow problem. That's why they often achieve their goal of growing the business only to find they have increased their cash-flow problems in the process. Plan for growth and the related cash outlays in advance, so they do not come as a surprise. In the meantime, the SBA recommends that you take the following practical steps to better manage cash flow, especially for the growing business:

Collecting receivables - To speed up the receipt and processing of receivables, the SBA suggests several steps. Spring for a lockbox service, post office boxes serviced by banks so that customers in far flung locations can mail payments there and the checks will be processed by the banks more quickly. Ask customers to preauthorize checks so that banks can draw against their accounts at timed intervals. Centralize your banking at one bank. Ask customers to pay with depository transfer checks, a relatively cheap fund transfer. You can also try offering discounts to customers if they pay bills quickly.

Tightening credit requirements - Businesses often have to extend credit to customers, particularly when starting out or growing. But you have to do your research beforehand to determine the risk of extending credit to each customer. Can they pay their bills on time? Is their business growing or faltering? Are they having cash-flow problems? The SBA recommends getting a Dun & Bradstreet report on potential customers and asking them to fill out a credit application. You should also check references. Another option to extending store credit is to accept credit cards. This will cost you a percentage, generally from 2 to 5 percent of the sale, but it may be a safer bet for getting paid on time.

Increasing sales - If you need more cash, it seems like a no brainer to go out and try to attract new customers or sell additional goods or services to your existing customers. But this may be easier said than done. New customer acquisition is essential to a growing business, but it can take time and money to convert prospects into sales. Selling more to existing customers is cheaper and you may be able to do this by analyzing what they're buying and why - information that may even lead you to increase your profit margin and, hopefully, generate more cash. But the SBA warns businesses to be careful when increasing sales because you may just increase your accounts receivables and not actual cash if these sales are on credit.

Pricing discounts - One option to increasing cash flow is to offer your customers discounts if they pay early. While this practice may impact your profit margin, it may help your management of cash flow by incentivizing customers to make payments earlier than billing cycles typically require. Your company may also take advantage of this with suppliers and others that you owe, but be careful that your early payments of debt don't leave you with a cash flow shortfall.

Securing loans - Short-term cash flow problems may sometimes necessitate a business taking out a loan from a financial institution. Some possible types are revolving credit lines or equity loans, according to the SBA. Most of the time this type of borrowing accomplishes its goals, although during the financial crisis many banks were canceling credit lines and calling in loans. Another option is a long-term amortized loan which includes interest and principal until the loan is paid off.

Getting Control of Your Cash Flow

Campbell suggests asking yourself the following two questions to get a sense about whether you have your business' cash flow situation under control:

1. What is my cash balance right now?

2. What do I expect my cash balance to be six months from now?

"If you can't answer these two questions, then strap yourself in for a wild ride," he says. "You are on a roller coaster ride that's about to become really frightening. You don't have your cash flow under control."

One way to keep that situation under control is by tracking your cash flow results every month to determine if your management is creating the type of cash flow your business needs. This also helps you get better and better at creating cash flow projections you can rely on as you make business decisions about expanding your business and taking care of your existing bills.

In a historic move, the U.S. Drug Enforcement Agency granted approval for a nonprofit to study marijuana's medical benefits on military veterans suffering from combat-related psychological disorders.

The Multidisciplinary Association for Psychedelic Studies (MAPS), a California-based nonprofit that studies medical uses of psychotropic drugs, will conduct the clinical trial, which will be a double-blind, placebo-controlled trial using the whole plant (not an extract or pill version). The trial is the first in U.S. history to receive full approval from the DEA and FDA.

The study will examine whether medical marijuana can treat Post-Traumatic Stress Disorder in 76 U.S. military veterans. The veterans have treatment-resistant PTSD and haven't found relief from other medications. The study will look into how different strains and doses of marijuana can benefit the veterans and look into potential side effects, a press release from MAPS says.

The trial intends to develop "smoked botanical marijuana into a legal prescription drug" approved by the FDA, MAPS says in a statement.

MAPS received a $2.16 million grant from Colorado's Department of Public Health and Environment (CDPHE) to conduct the trial.

"We have been working towards approval since we opened the Investigational New Drug Application (IND) with the FDA in 2010," said Amy Emerson, executive director and director of clinical research for the MAPS Public Benefit Corporation, in a release. "We are thrilled to see this study overcome the hurdles of approval so we can begin gathering the data. This study is a critical step in moving our botanical drug development program forward at the federal level to gather information on the dosing, risks, and benefits of smoked marijuana for PTSD symptoms."

MAPS, which was founded in 1986, has raised over $36 million for psychedelic therapy and research and education in marijuana's medical benefits.

The Trump Administration Puts the Recreational Marijuana Industry on Notice With New Enforcement Stance

 

With medical marijuana legal in 23 states and Washington, D.C, there are now millions of card-carrying cannabis users working at companies across the U.S. But pot is still illegal under federal law, and many business owners still subscribe to the plant's Reefer Madness stigma and don't want to allow people to smoke on the job. For some of those owners, that can mean getting sued for failing to accommodate an employee who has a medical condition.

Regardless of how you feel about marijuana, there are certain rules employees and employers need to follow when it comes to drugs in the workplace. If you make a mistake, you could find yourself in court. Todd Wulffson, a partner at California-based employment and labor law firm Carothers DiSante & Freudenberger, is one of the many lawyers who have been busy defending employers in these types of cases. Wulffson says that to protect your business you need to update your employment policies and human resources programs, and train all managers.

First, you need to be familiar with the laws that have been passed in your state and consider a drug policy that doesn't prohibit employees from using cannabis on their own time. With 86 percent of Americans supporting medical marijuana, an overly restrictive policy may chase some of your workers to another employer. Marijuana, while still classified as a Schedule I drug without medical use, does have medical benefits, and a bipartisan bill to make medical marijuana legal on the federal level has been introduced in the Senate. 

Until then, you need to take steps to avoid becoming a target of an employee lawsuit (whether the employee would have a strong case or not). "There are four scenarios that play out in these types of lawsuits that I see over and over again," Wulffson says. See the details below to find out what moves your company should make in each case.

1. Innocent inquiry

The first scenario is when an employee or an applicant innocently asks the question "'I just wanted to know, would you accommodate my use of medical marijuana?'" "That's a loaded question because you have to accommodate the underlying disability of the medical condition," Wulffson says. "But you don't have to accommodate being stoned at work."

If the query is put to the human resources department, the HR person should tell the employee that the company will accommodate his condition. At the same time, the employee should explain his condition, the treatment, and exactly what kind of accommodation he needs so you can have a dialogue about it. Where most companies falter is when a manager doesn't know the company policy and speaks out of turn.

"If an employee asks a line manager, they could easily say, 'Hell no! We don't accommodate stoners! You can't be stoned at work!'" Then the employee says, "Gee, I got glaucoma and I was hoping you'd accommodate my condition." If the manager doesn't tell the employee to go talk to HR and fires them, Wulffson warns, the result may be a lawsuit.

2. An ill employee stoned at work

The second scenario, Wulffson says, is when an employee with a serious disease is under the influence at work and gets called on the carpet: "The employee will say, 'I am getting treated for cancer and I am going through chemo. The only thing that helps is medical marijuana and I had to smoke a bowl at lunch to keep from throwing up. I am really sorry, I'll do something light until it wears off.'" Wulffson says that although you may have sympathy for the employee's situation, the only way to protect yourself from litigation is to institute a zero-tolerance policy for the use of any drugs, including medical marijuana, while at work.

Keep in mind, however, that if you are in a state that mandates employers accommodate medical marijuana (i.e., Arizona, Delaware, or Minnesota) you cannot fire a medical marijuana card-holding employee for a positive marijuana test. While it is indeed advisable to have a drug policy prohibiting marijuana use during work hours, you don't need to know about what employees are doing on their own time.

3. The future smoker

Wulffson says he's currently representing three clients who are in this situation: The employee comes to you and says she's suffering from anxiety or glaucom and needs to deal with the symptoms. She tells you she's about to go outside, walk 50 feet away from the building, smoke, and come back. "They're telling you they're going to do it, but they are not stoned right now, so you don't have the right to fire them right now," he says. "But, invariably, the manager says, 'No, no, no, no. Go home, stay home, you're fired.'" 

Wulffson says you should not allow the employee to smoke while at work, but you can make allowances. Say something like this: "We will reasonably accommodate your condition, but we cannot allow you to be under the influence while on the clock--it's too risky for the company. You can go home for the rest of the day and come back tomorrow."

4. Social media smokers

Here, an employee goes on Facebook or Twitter and sees pictures of an applicant smoking a joint. The employee then emails the hiring manager to discourage him from hiring the person. When the candidate finds out you saw the photos, Wulffson says, "that's when they claim you didn't hire them because of either a perceived disability" and/or because you don't want to provide an accommodation for them

You might find this is frivolous, but there are lawyers out there looking to cash in. "There is a cottage industry of lawyers that do nothing but bring claims related to medical marijuana against employers," Wulffson says. "Google 'medical marijuana rights' and you'll find 50 lawyers who write well-written letters about how you didn't accommodate the employee and you're getting sued for hundreds of millions of dollars, but today they'll take $15,000 to go away."

The takeaway

Wulffson says these lawsuits are catching a lot of employers off guard because of the confusion over medical marijuana laws. "It may be legal in many states, but it's still a federal crime," he says. California and other states will not prosecute someone with a medical card who is carrying less than a certain amount, but that's not a blanket permission. "You can't go on federal property, you can't work for a federal employer," he says. "'Don't work for a federal contractor because you could be fired and maybe jailed."

When it comes to drug use at work--whether it is an employee with cancer smoking marijuana or one popping Xanax to deal with anxiety--Wulffson suggests you should adopt a simple, straightforward company policy that reads something like this: "We don't allow the use of, the possession, or being under the influence of any illegal drug in the workplace. 'Illegal drug' is defined as 'the abuse of over-the-counter medication, prescription medication, medical marijuana, and alcohol."

Additionally, Wulffson says, make sure you train all of your managers to answer questions. "If anything from any employee looks, sounds, or smells like they have a medical condition or medical marijuana issue, refer them to HR," he says. "The biggest issue I see is that companies don't get the word out and the line managers say and do things that get the company sued."

He did it, like many others in his cohort, because of what's being called the "Green Rush"—a move out west to take part in one of the most exciting, risky, and (perhaps) profitable enterprises today: the medical marijuana trade.

Within a year, Bedrick set up shop in Scottsdale and launched Kind Clinics, a full-service marketing and consulting company that helps entrepreneurs open and manage dispensaries. For Bedrick, business is booming. He reports that he's already working with about 70 dispensaries, which, by his estimation, makes him the largest medical marijuana consulting company around today.

"Absolutely, people see it [as a gold rush]," Bedrick says. "But there's more to it than that. There's a bit of freedom here. There's finally an awareness for compassion. I work with oncologists, attorneys, and pharmacists. These people truly understand the benefit of the herb."

According to See Change Strategy, a think-tank that conducted an industry-wide analysis of the medical marijuana trade, the current national market for cannabis is $1.7 billion. By 2016, the market could surge to $8.9 billion. To give some perspective, that's more than the annual GDP of The Bahamas—by about a billion dollars.

"The numbers are potentially astronomical in this burgeoning new field," Bedrick says.

See Change would seem to agree. "The growing acceptance of medical marijuana is providing business operators and investors with unprecedented opportunities," the authors note. "See Change expects these markets to enjoy 99 percent growth in the next five years just in existing markets, with more than 20 potential new markets opening."

Still, there's one giant caveat to keep in mind: it's illegal. "However, investment and business development will continue to be dampened until the federal government definitively changes its position on the legality of medical marijuana," the report notes.

Although law enforcement has largely turned a blind eye to most dispensaries, the fact remains: the sale of marijuana, for any use, is considered illegal by the federal government. So if you're considering opening a medical marijuana dispensary, you'll be dealing with plenty of hurdles: regulatory, compliance, financials, as well as the quandaries any typical business owner faces, including marketing, logistics, and human capital. A few experts weigh in on how to mitigate those risks and create a sound and profitable enterprise.

About forty years ago, Congress officially placed marijuana in Schedule I of the Controlled Substances Act. Essentially, the government concluded that the drug had a high potential for abuse. In other words, this legislation "cemented marijuana's de facto prohibition," according to See Change.

In the mid-90's, many activists began to rally around the drug's purported medicinal benefits. The Medical Marijuana Project was founded in 1995 to "increase public support for non-punitive, non-coercive marijuana policies" and to gain influence in Congress. A number of studies, both public and private, were funded to test the veracity of marijuana's medicinal worth. One such study in 1999 found that "The active ingredients in marijuana appear to be useful for treating pain, nausea and the severe weight loss associated with AIDS," according to the The New York Times.

Slowly, states began to adopt legislation to make it easier for medical marijuana to be disseminated.

"Over the past 15 years, led by California, 15 states plus the District of Columbia have adopted laws permitting some form of marijuana consumption or distribution for medical use," notes the See Change Strategy study. "These laws have been adopted by public referendums as well as legislation."

In 2009, the Obama administration ordered federal prosecutors not to prioritize legal action against medical marijuana dispensaries that comply with state laws. This controversial decision has been critical to the growth of the medical marijuana industry.

"These conditions have combined to produce the first legal marijuana markets in modern times," the authors note. "This emerging market presents unique opportunities to entrepreneurs and investors as well as unique risks."

"The largest challenge that medical cannabis faces is that it is still federally illegal in the eyes of the federal government," says Kris Lotikiar, a co-author of the Medical Marijuna Markets report. "You're going to be running a criminal enterprise."

Lotikar, whose background is in renewable energy and business strategy, explains that while there's been a drastic reduction in the prosecution and raids of dispensaries, the overarching fact is that the dispensary business poses a number of difficulties for an entrepreneur, especially in raising capital, finding investors, and setting up merchant accounts with banking institutions.

Of the 300 respondents to See Change's survey, 34 percent "cite regulatory compliance, not customer demand or securing supply, as the number one challenge," while "24 percent cite securing financing as the most pressing business challenge."

There's also difficulties in the human resources department. Namely, Lotikar says, "You reduce the number of employees who are willing to work for you."

If you're planning on opening a dispensary, first check with state officials to navigate the local laws and ordinances that will govern your dispensary's actions. Because medical marijuana dispensary laws vary so much from state to state, and there's not always one department set up to govern the medical marijuana trade, Bedrick recommends that an entrepreneur should first check with the Department of Health Services as a good starting point.

Then, you'll need to go through a licensing process. Some states, like California, don't restrict the amount of dispensaries in a certain zone, unlike other states, like Delaware, that bid out dispensary licenses sparingly.  Entrepreneurs should also check with local officials on how to incorporate the business. Some states require all dispensaries to be non-profits, while others can be registered as C-Corporations.

Considering there will be quite a high degree of competition, Bedrick says any dispensary entrepreneur must have a solid business plan, ties to the community, and a squeaky clean record.

Kris Krane, another co-author of the See Change report agrees.

"The right candidate is a business-minded entrepreneur who cares about the issue and cares about doing it right, and can handle a certain degree of risk," he says. "This is an industry that is very much in its infancy, where regulations are not clearly defined. There is the threat of federal involvement, and anybody getting involved has to be comfortable with a certain degree of risk, but recognizing that the long term rewards—both in financial and social cause—can be extremely high."

"You better be well-funded," says Bedrick. "This is not for the faint of heart."

Considering legal and consulting fees, an entrepreneur can expect to dole out between $30,000 to $100,000 just to make an application, according to Bedrick. Then, if you are granted a license, then you'll need to do a build-out, which will run you $100,000 to $300,000. After you've built the store, then you'll need the product. And if your state also allows a cultivation location, that will run you anywhere between $200,000 to $400,000.

Though it will vary widely, start-up costs average out to around a quarter of a million dollars, according to Bedrick. Kris Krane, author of the See Change report, said that some entrepreneurs paid as little as $40,000 while others paid as much as $500,000.

"For somebody wanting to start a dispensary or cultivation center, start-up costs are going to involve getting through the regulatory structure, which can be quite complicated and quite difficult," says Krane. "If someone is going to do this right, they're going to want to hire good lawyers, a good CPA, and a good consultant."

And how much can you make?

"It's a loaded question," says Bedrick. "It can be anywhere from failing to doing very well and making $100,000 a month in revenues."

While dispensaries are the obvious business model for those looking to break into this industry, there are perhaps less obvious altenratives.

"Demand for marijuana has produced a number of business opportunities," See Change reports. "Other entrepreneurs are providing marijuana infused products including edibles, tinctures and salves. Development and sales of smoking and non-smoking paraphernalia for consumption are on the rise."

Bedrick would agree. He says that while some patients enjoy smoking the medicine, there is a considerable move and market share toward the edibles. What started out as a couple percentage points of the market share is now up to about 15 percent. Medicinal marijuana can even be made into sodas, bars, elixirs, and lozenges. "Some people just don't like smoking," he says. "This makes it easier to take."

And where there's a growing market, there's always a few creative types lurking behind the scenes.

Russell Perry, who owns Keane, a creative advertising agency in Tempe, is working on concepts to promote medical marijuana dispensaries.

"I think what's really kind of awesome for people in our industry is the opportunity that lies ahead," he says. "Unlike opening a CPA firm, where there's a preconceived notion of what that brand is supposed to look like, it seems like this is a wild-wild-west. We're on the ground floor trying to shape it. Who knows what's going to happen in 10 to 15 years."

As I travel quite frequently I really enjoy finding a local Thai Massage centre wherever I may be, and seeing how their service varies from the many I've experienced, and in particular how they compare with an authentic Thai Massage experience in Thailand. So on my last trip to NSW Australia, I thought I'd see if I could find a great experience of my favourite kind of Massage in Sydney.

Of all the forms of massage therapy that exist, none intrigue me so much as Traditional Thai Massage. Though I am a qualified massage therapist myself, the system that the Thais have developed still fascinates me more than any other. Possibly the only thing that fascinates me even more is how those rather small Thai women can manipulate a man of my size with such strength! That was certainly my experience in Thailand, I wondered if it would be the same if I got a Thai Massage in Sydney.  

Thai massage interestingly began in India. It is a system utilizing both Meridian pressure points and stretching in tandem with an ancient breathing method known as "Pranayama." The breathing techniques cleanse and relax the muscles while at the same time strengthen the nervous system.  

Many Asian massage systems are actually ancient healing rituals  which were created and developed over hundreds of years in India and the Far East.  Asian massage systems are becoming increasingly more popular in western countries. This is in conjunction with the west's growing interest in holistic forms of relaxation and exercise such as yoga and pilates.  

I think that's one of the reasons I love Thai Massage so much, I love the history and culture that it stemmed from.  

So back to my story. When last in Sydney I wanted to find a Thai Massage Therapy centre that was not one of the more commercial centers that I would find advertised in the daily paper. So I just asked around wherever I happened to be, and after a few days I was told, "you must try this little Thai Massage place not far from here". Ah ha, this could be what I was looking for.  

Well, after finding it in the suburb of Burwood, not far west of Sydney CBD, I was greeted by a small lady, clearly a native Thai and I immediately felt very comfortable in this small buy very cosy place. I resisted the urge to go for the more relaxing oil massage or reflexology, and booked an hour long Traditional Thai Massage.  

Needless to say, the experience was absolutely delightful and yes I was once again amazed at the strength of this small in stature woman. I will certainly go back on any subsequent visit to get my essential Massage in Sydney.  

The one sad element to this story is in a conversation with the lovely Thai woman after the massage, she said that it's frustrating getting phone calls nearly every day from men looking for "special services" or "happy endings". This is clearly a genuine and legitimate business and everything on offer is strictly non sexual.   

For a wonderful massage experience that is as close as you will find in Thailand, I could not think of a better place for a real Thai Massage in Sydney.
